This website, mps-nyc.com (the "Site"), is operated by MPs New York. In these Terms and Conditions (the "Terms"), "MPs New York," "we," "us" and "our" refer to MPs New York. We make the Site, including all information, tools and services available through it (together, the "Service"), available to you on the condition that you accept these Terms and all policies and notices referenced here.

By visiting the Site or requesting services from us, you agree to be bound by these Terms, including any additional terms and policies referenced or linked here. These Terms apply to every user of the Site, including visitors, customers, vendors and anyone who submits content.

Please read these Terms carefully. If you do not agree with all of them, do not access the Site or use the Service. Any new features or tools added to the Site are also subject to these Terms. The current version is always available on this page. We may update, change or replace any part of these Terms by posting changes here, and your continued use of the Site after changes are posted means you accept them.

These Terms govern your use of the Site. The moving or storage services we perform for you are also governed by the written estimate, order for service, Bill of Lading and any other contract documents you sign with us. If those documents conflict with these Terms, the signed documents control for that move.

1. Use of the Site

By agreeing to these Terms, you confirm that you are at least the age of majority in your state of residence, or that you are the age of majority and have consented to any minor dependents using the Site under your supervision.

You may not use the Site or the Service for any illegal or unauthorized purpose, and you may not violate any laws in your jurisdiction, including copyright laws, when using it. You must not transmit any viruses, worms or other code of a destructive nature. Any breach of these Terms may result in immediate termination of your access to the Service.

2. General Conditions

We reserve the right to refuse service to anyone, for any lawful reason, at any time.

Information you send through the Site travels over the internet and may pass through various networks. Payment card information, where collected, is always encrypted in transit.

You may not reproduce, duplicate, copy, sell, resell or exploit any part of the Site or the Service, or any content on the Site, without our express written permission.

Headings in these Terms are for convenience only and do not limit or affect the meaning of any provision.

3. Accuracy and Timeliness of Information

The material on the Site is provided for general information only. We are not responsible if information on the Site is not accurate, complete or current, and it should not be relied on as the sole basis for any decision without consulting more complete or more current sources. Cost ranges, timelines and similar figures on the Site are estimates; only your written quote states your price. Any reliance on Site material is at your own risk.

The Site may contain historical information that is not current and is provided for reference only. We may change the content of the Site at any time but are not obligated to update it. You are responsible for monitoring changes to the Site.

4. Changes to the Service and Prices

Prices for our services may change without notice until a written quote is issued and accepted. We may modify, suspend or discontinue the Site or any part of it at any time without notice, and we are not liable to you or any third party for any such modification, price change, suspension or discontinuance.

5. Services

Some services or offers may be available only through the Site and may have limited availability. Bookings are subject to our cancellation and rescheduling terms as stated in your written quote or service agreement.

We may, but are not required to, limit the availability of our services to any person, geographic area or jurisdiction, on a case-by-case basis. Any offer made on the Site is void where prohibited.

6. Accuracy of Booking and Contact Information

We reserve the right to decline or cancel any booking request. If we change or cancel a booking, we will try to notify you using the email address, phone number or mailing address you provided.

You agree to provide current, complete and accurate information when requesting a quote or booking a move, including an accurate description of the items to be moved and of access conditions at each location, and to update that information promptly if it changes. Inaccurate information may affect your price and schedule.

7. Optional Tools

We may give you access to third-party tools that we do not monitor or control. You acknowledge that such tools are provided "as is" and "as available," without warranties, representations, conditions or endorsement of any kind, and that we have no liability arising from your use of them. Your use of optional tools is entirely at your own risk, and you should review the terms of the provider offering them.

New features or services offered through the Site in the future are also subject to these Terms.

8. Third-Party Links

Some content and services available through the Site may come from third parties, and links on the Site may take you to websites not affiliated with us. We do not review or verify third-party content and do not warrant it. We are not liable for any harm or damages related to goods, services, content or transactions involving third-party websites. Please review a third party's policies before engaging with it, and direct any complaints or questions about third-party products to that third party.

9. Comments, Feedback and Other Submissions

If you send us creative ideas, suggestions, proposals, reviews or other materials, whether at our request or not, and whether online, by email, by mail or otherwise ("comments"), you agree that we may edit, copy, publish, distribute, translate and otherwise use those comments in any medium without restriction. We have no obligation to keep comments confidential or to respond to them.

We may, but are not obligated to, monitor, edit or remove content that we determine, in our sole discretion, is unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable, or that violates anyone's intellectual property or these Terms.

You agree that your comments will not violate the rights of any third party, including copyright, trademark, privacy or publicity rights, and will not contain unlawful, abusive or obscene material or any malicious code. You may not use a false email address, impersonate anyone, or mislead us or others about the origin of your comments. You are solely responsible for your comments and their accuracy.

Your submission of personal information through the Site is governed by our Privacy Policy.

11. Errors, Inaccuracies and Omissions

Information on the Site may occasionally contain typographical errors, inaccuracies or omissions relating to service descriptions, pricing, promotions, offers, transit times or availability. We reserve the right to correct any such errors and to change or update information or cancel bookings if information on the Site is inaccurate, at any time and without prior notice, including after you have submitted a request.

We have no obligation to update, amend or clarify information on the Site, including pricing information, except as required by law.

12. Prohibited Uses

In addition to the other restrictions in these Terms, you may not use the Site or its content:

• For any unlawful purpose, or to solicit others to take part in unlawful acts.
• To violate any international, federal, state or local law, regulation or ordinance.
• To infringe our intellectual property rights or those of others.
• To harass, abuse, insult, harm, defame, intimidate or discriminate against anyone based on gender, sexual orientation, religion, ethnicity, race, age, national origin or disability.
• To submit false or misleading information.
• To upload or transmit viruses or other malicious code.
• To collect or track the personal information of others.
• To spam, phish, pretext, spider, crawl or scrape.
• For any obscene or immoral purpose.
• To interfere with or circumvent the security features of the Site or any related website.

We may terminate your use of the Site for violating any of these prohibited uses.

13. Disclaimer of Warranties; Limitation of Liability

We do not guarantee that your use of the Site will be uninterrupted, timely, secure or error-free, or that results obtained from the Site will be accurate or reliable. The Site is provided "as is" and "as available."

To the fullest extent permitted by law, MPs New York and its owners, officers, employees, affiliates, agents, contractors, suppliers, service providers and licensors will not be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special or consequential damages of any kind, including lost profits, lost revenue, lost savings, loss of data or replacement costs, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of the Site or any content on it, even if advised of their possibility. Where a jurisdiction does not allow the exclusion or limitation of certain damages, our liability is limited to the maximum extent permitted by law.

Our liability for loss of or damage to goods during a move is governed by the valuation coverage selected in your moving contract and by applicable state and federal law, not by this section. See moving insurance and claims and complaints.

14. Indemnification

You agree to indemnify, defend and hold harmless MPs New York and its owners, affiliates, partners, officers, agents, contractors, licensors, service providers, suppliers and employees from any claim or demand, including reasonable attorneys' fees, made by a third party arising out of your breach of these Terms or the documents they incorporate, or your violation of any law or the rights of a third party.

15. Severability

If any provision of these Terms is found to be unlawful, void or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the unenforceable portion will be treated as severed. This will not affect the validity or enforceability of the remaining provisions.

16. Termination

Obligations and liabilities incurred before termination survive the termination of this agreement.

These Terms remain in effect until terminated by you or by us. You may end them at any time by ceasing to use the Site. If we determine, in our sole judgment, that you have failed or may have failed to comply with these Terms, we may terminate this agreement at any time without notice and deny you access to the Site. You remain responsible for any amounts owed up to the date of termination.

17. Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms is not a waiver of that right or provision.

These Terms, together with any policies or operating rules we post on the Site and any signed agreement for moving or storage services, make up the entire agreement between you and us regarding the Site and supersede any prior or contemporaneous agreements, communications and proposals, whether oral or written. Any ambiguity in these Terms will not be interpreted against the drafting party.

18. Governing Law

These Terms, and any separate agreement under which we provide services to you, are governed by and interpreted in accordance with the laws of the State of New York, without regard to its conflict of law principles, and, where applicable, federal law governing the interstate transportation of household goods. You agree that any dispute arising from these Terms will be brought in the state or federal courts located in New York County, New York.

19. Changes to These Terms

You can review the most current version of these Terms at any time on this page. We may update, change or replace any part of these Terms at our discretion by posting changes on the Site. It is your responsibility to check this page periodically. Your continued use of the Site after changes are posted means you accept those changes.
